These Terms & Conditions (“Terms”) govern your access to and use of the Avika Billing Solutions website, applications, and related services (collectively, the “Services”) operated by [Avika Billing Solutions, LLC] (“Avika,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms.
1. Eligibility & Account
- You must be at least 18 years old and capable of entering into a binding contract.
- You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your credentials.
2. Acceptable Use
- Do not interfere with the proper operation or security of the Services.
- Do not upload or transmit malware, attempt to bypass access controls, or misuse another user’s data.
- Use the Services only for lawful purposes and in accordance with these Terms.
3. Payments & Fees
- Payments may be processed by third parties (e.g., Authorize.Net) via ACH or credit/debit card. You authorize us and our processors to initiate debits/credits as needed to complete transactions, correct errors, or process refunds.
- Fees, surcharges, or convenience fees (if any) will be disclosed at checkout.
4. Medical & Billing Disclaimers
- Avika provides billing and payment facilitation for participating practices. We do not provide medical advice or clinical services.
- Billing information is provided by the practice; questions about charges or services should be directed to your provider.
5. Data Security & Privacy
Your use of the Services is also governed by our Privacy Policy. We implement administrative, technical, and physical safeguards appropriate to our role and systems. If our Services are used to transmit or store protected health information (PHI), we follow industry best practices and applicable contractual obligations. Avika is not a covered entity and functions as a service provider / business associate where applicable and as defined by contracts with practices.
6. Intellectual Property
The Services, including all content, logos, and software, are owned by Avika or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
7. Third-Party Services
We may link to or integrate third-party services (e.g., payment gateways). We are not responsible for their content or practices. Your use of third-party services is subject to their terms and policies.
8. Service Changes & Availability
We may modify or discontinue features at any time. We use commercially reasonable efforts to maintain uptime but do not guarantee uninterrupted availability.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVIKA AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT PAID BY YOU TO AVIKA FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 3 MONTHS PRECEDING THE EVENT.
11. Indemnification
You agree to defend, indemnify, and hold harmless Avika from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or violation of these Terms.
12. Suspension & Termination
We may suspend or terminate access if you violate these Terms, create risk, or for operational reasons. Upon termination, your rights to use the Services cease immediately.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the state and federal courts located in [Harris County, Texas].
14. Changes to Terms
We may update these Terms. Material changes will be posted here with a new “Last updated” date.
